3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide timely and accurate information, content, and materials as requested
• Grant necessary access to accounts, platforms, and tools required for the project
• Review and provide feedback on deliverables within agreed timelines
• Ensure that any materials you provide do not infringe on third-party intellectual property rights
• Maintain current and accurate contact information

Delays caused by failure to meet these responsibilities may impact project timelines and deliverables.

4. Payment Terms

• Services are provided as custom packages tailored to each client's needs.
• Pricing, payment schedules, and terms will be outlined in your service agreement or proposal.
• Invoices are issued according to the agreed schedule and are due upon receipt unless otherwise stated.
• Late payments may result in suspension of services until the balance is brought current.
• All fees are non-refundable once work has commenced, unless otherwise agreed in writing.

5. Intellectual Property

Our Work Product

Upon full payment, you will own the final deliverables created specifically for your project (e.g., website designs, custom graphics, copy). We retain the right to display work in our portfolio and use it for promotional purposes unless otherwise agreed.

Third-Party Assets

Some deliverables may include third-party assets (stock images, fonts, plugins, etc.) that are subject to their own licensing terms. We will inform you of any applicable licensing restrictions.

Our Tools & Processes

All proprietary tools, templates, frameworks, methodologies, and processes developed by Elevated Ideas LLC remain our intellectual property and are not transferred to clients.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, login credentials, analytics data, customer lists, and financial information. Confidentiality obligations survive the termination of the business relationship.

7. Limitation of Liability

To the maximum extent permitted by law:

• Elevated Ideas LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services.
• Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
• We are not responsible for losses resulting from third-party platform changes, algorithm updates, hosting outages, or other factors beyond our control.

8. No Guarantees on Results

Digital marketing involves many variables beyond our control. While we employ industry best practices and proven strategies, we do not and cannot guarantee specific results, including but not limited to:

• Search engine rankings or positions
• Volume of leads, traffic, or conversions
• Return on advertising spend
• Social media engagement or follower growth

We commit to providing our best professional efforts, transparent reporting, and data-driven recommendations to maximize your results.

9. Termination

We believe in earning your business — not locking you into long-term contracts.

• Either party may terminate the service relationship with 30 days' written notice unless otherwise specified in a service agreement.
• Upon termination, the client is responsible for payment of all work completed up to the termination date.
• We will provide reasonable assistance in transitioning services, including delivery of all final assets and access credentials.
• We reserve the right to terminate services immediately in cases of non-payment, breach of terms, or abusive behavior.

10. Drone Services Disclaimer

Elevated Ideas LLC offers drone photography and videography services subject to the following conditions:

• All drone operations are conducted by an FAA Part 107 certified remote pilot in compliance with federal aviation regulations.
• Drone flights are weather-dependent and subject to cancellation or rescheduling due to rain, high winds, low visibility, or other unsafe conditions.
• Flights are subject to airspace restrictions. Certain locations may require additional authorizations (e.g., LAANC approval) or may not be serviceable.
• The client is responsible for obtaining any necessary property access permissions for the flight location.
• Elevated Ideas LLC carries appropriate liability insurance for drone operations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal proceedings arising from these Terms shall be brought in the courts located in Morgan County, Illinois.

12. Dispute Resolution

In the event of a dispute arising from these Terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue mediation before initiating any legal proceedings. Each party shall bear its own costs for mediation.

13. Indemnification

You agree to indemnify and hold harmless Elevated Ideas LLC, its owner, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of our services, or violation of any third-party rights.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of our website or services following any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
